Welcome to UseIt Studio. These Terms of Use (“Terms”) govern your access to and use of the UseIt website at useit.im, the UseIt Studio web app at studio.useit.im, the UseIt Studio desktop app, and related services (together, the “Service”), provided by USEIT PTE. LTD. (“UseIt,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you may not access or use the Service.
1. The Service
UseIt Studio is an AI design studio for physical things. You can describe what you want, upload images and files, and work with AI to create and edit designs such as cards, stickers, packaging, keychains and other printed or cut products. The Service can prepare production files (for example print-ready files and cut lines), show previews, let you order physical products made from your designs, and let you share designs with other people through the Gallery.
The Service relies on artificial intelligence. AI can make mistakes, and the results it produces (“Outputs”) may be inaccurate, incomplete or similar to content produced for other users. You are responsible for reviewing Outputs, including sizes, spelling, colors and cut lines, before you use, publish or order them.
2. Eligibility and accounts
You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old.
To access most features of the Service, you must create an account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for keeping your sign-in credentials confidential and for all activity that occurs under your account. Please notify us immediately at support@useit.im of any unauthorized use of your account.
3. Your content and AI outputs
“User Content” means the prompts, messages, images, files and other material you submit to the Service, together with the Outputs generated for you. As between you and UseIt, you retain whatever rights you have in your User Content.
You grant UseIt a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt, transmit and display your User Content solely as needed to operate, provide, secure and improve the Service, including to send it to the service providers described in our Privacy Policy and to produce and deliver products you order. We do not use your User Content to train AI models. If you publish User Content to the Gallery, this license also covers displaying it publicly and making it available to other users as described in Section 4.
You represent and warrant that you have all rights necessary to submit your User Content and to grant the license above, and that your User Content, and any product made from it, does not infringe anyone else’s intellectual property, privacy or other rights.
4. The Gallery
The Gallery is a public space where users share designs as reusable templates. When you publish a design, the following become public right away: the design’s title and description, its cover and example images, the method used to create it and the resources it needs, and your public profile (name, bio and avatar). Your project chats stay private. Comments, likes and follows in the Gallery are also public.
Making one like it. Other users can use a published design as a template to make their own version (“make one like it”), replacing its text, images and colors. When you publish, you choose whether this is free or costs a number of credits that you set. A user who pays makes a one-time purchase that includes later versions you publish. UseIt does not currently pay creators for these purchases.
Personal use license. Unless a design’s page states otherwise, a user who makes one like it may use the result for themselves, as gifts and for non-commercial personal events. They may not resell, transfer or offer the original digital template for public download, but they may share derivative templates for free. By publishing, you allow other users to use your design on these terms.
Review and removal. Published designs are reviewed after they go live. We may mark designs that feature third-party characters, logos or other protected material as showcase-only (they can be viewed, but not reused, sold or ordered), and we may remove content or restrict accounts that violate these Terms, telling you why. If a design you paid credits for is taken down, those credits are refunded in full. You can report a design or comment you believe violates these Terms from the Gallery.
5. Acceptable use
You agree not to misuse the Service or help anyone else do so. In particular, you agree not to:
- submit, publish or order content that infringes or misappropriates anyone’s copyright, trademark, character, likeness, privacy or other rights;
- create, publish or order content that is illegal, sexually exploits minors, promotes violence or hatred, harasses others, or is otherwise harmful;
- use the Service for any illegal or unauthorized purpose, or in violation of the terms of any third-party software or service you connect to it;
- probe, scan or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures;
- access, tamper with or use non-public areas of the Service;
- interfere with or disrupt any user, host or network, for example by sending a virus or by overloading, flooding or spamming any part of the Service;
- attempt to extract the Service’s underlying prompts, instructions or models, or reverse engineer, decompile or disassemble the Service or its software, except where applicable law expressly permits it;
- use the Service, or Outputs, to build a competing product or service; or
- access the Service by automated means, other than through features we provide for that purpose.
We may refuse to produce or ship an order, or remove content, if we reasonably believe it violates these Terms or applicable law.
6. Physical product orders
You can order physical products made from your designs, for delivery to the regions offered at checkout. Products are made to order from your design by UseIt and our production partners, and production starts after payment. Before you pay, the Service shows you the product, its specifications, the price, shipping costs, the delivery address and the order terms for that product; please check them carefully, because the product is produced from the design and details you confirm.
- Order terms. Each product shows its own order terms, such as production time, tolerances, expected differences from the on-screen preview, the stages at which an order can still be cancelled, and the period for reporting problems. Those order terms form part of these Terms for that order.
- Appearance. Colors, finishes and materials on screen are previews. Printed and manufactured products can vary from what you see on screen, within the tolerances shown in the order terms.
- Production and delivery. Production and delivery times shown in the Service are estimates, not guarantees. Items in one order may arrive in separate shipments. We will contact you if anything in your design needs checking before production.
- Cancellation and problems. To cancel an order or report a problem with a product you received, use “Request cancellation / after-sales” on your order page within the periods shown in the order terms, or contact support@useit.im. Because products are custom-made, an order generally cannot be cancelled once production has passed the stages shown in the order terms. Refunds apply to an entire order line; partial quantities of a line cannot be refunded.
Nothing in this Section limits any rights you have under consumer protection laws that cannot be waived by contract.
7. Fees, credits and subscriptions
Some features of the Service require payment, such as subscription plans and product orders. Prices are shown in the Service before you pay. Payments are processed by our payment processor, Stripe. All fees are in U.S. Dollars unless otherwise stated.
Credits. Credits are used for AI generation and other features in the Service, and to make your own version of paid Gallery designs. Credits come with your plan or are granted to you, for example as daily or monthly allowances or promotional packs. Credits granted for a limited time expire as shown in the Service. Credits have no cash value and cannot be transferred or exchanged for money.
Subscriptions. If you purchase a subscription, you will be billed in advance on a recurring basis (a “Billing Cycle”). Your subscription renews automatically at the end of each Billing Cycle unless you cancel it before then through your account or by contacting us. Cancellation takes effect at the end of the current Billing Cycle.
Price changes. We may change our fees. We will give you reasonable advance notice of any change to subscription fees so that you can cancel before the change takes effect.
Refunds. Except as stated in Sections 4 and 6 or required by law, payments are non-refundable, and there are no refunds or credits for partially used Billing Cycles or unused credits.
8. Desktop app and your software
The UseIt Studio desktop app for Windows can work with software installed on your computer, such as Adobe Illustrator, Adobe Photoshop and Microsoft PowerPoint. On your instructions, it can open, create and edit documents in that software, and to carry out a task it may operate the software’s interface, including by taking screenshots and controlling the mouse and keyboard. You are responsible for holding valid licenses for that software, for the documents you ask the Service to work on, and for keeping backups of important files. Review changes made by the Service before you rely on them.
9. Third-party services
The Service may link to or work with third-party websites, software and services, such as sign-in providers, payment processors, carriers and design software. We do not control them and are not responsible for their content, policies or actions. Your use of them is governed by their own terms and privacy policies.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms or if we are required to do so by law. Upon termination, your license to use the Service ends, and we may delete your account and User Content in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Sections 3, 6, 7 and 11 to 15) will survive.
11. Indemnification
You agree to indemnify and hold harmless UseIt and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Service, (ii) your User Content, including any product made from it, (iii) your violation of these Terms, or (iv) your violation of anyone else’s rights.
12. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
USEIT MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE OR ERROR-FREE BASIS. DUE TO THE NATURE OF ARTIFICIAL INTELLIGENCE, USEIT DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, UNIQUE OR SUITABLE FOR ANY PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE YOU USE, PUBLISH OR ORDER THEM.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL USEIT, ITS AFFILIATES, AGENTS, DIRECTORS OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL OR DATA, ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL USEIT’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID TO USEIT IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Governing law and disputes
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising from these Terms will be resolved through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
15. General terms
Entire agreement. These Terms, together with the Privacy Policy and any terms shown to you at checkout, are the entire agreement between you and UseIt regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Changes to these Terms. We may revise these Terms from time to time. We will notify you of material changes, for example by a notice in the Service or an email to the address associated with your account. By continuing to use the Service after the changes take effect, you agree to the revised Terms.
16. Contact
If you have any questions about these Terms, please contact us at support@useit.im.
